Bad idea.
Lawyers are very good at talking and can draw you into lines of communication that you arent even aware that you are involved in till you suddenly realize that you just said something that you shouldnt have said. If you insist in dealing with them on your own it would be a good idea to do it by letter rather than on the phone. You might even want to post your response. There are plenty of people involved who have a good grasp of how you can incriminate yourself and are willing to help you word your response. But in any case It would be wise to wait untill you get the second letter before you do anything. In the meanwhile take stock of of your situation as regards to what they might have against you.
As to recording the phone conversation: this is legal if you inform the other party of your actions and provide a beep tone on the phone line at a specified interval. Otherwise it is illegal and could be used against you if brought up in court that you recorded a phone conversaton unbeknownst to the other party. And it is a criminal offense.
You havent provided much specific information so the best advice I can give is to not panic, jump the gun and go off half-cocked. Take stock of your situation and consult a lawyer if you think they have a strong case.
And most importantly of all: stay informed.
