if after u got the letter would it make any difference in settlement if u were guilty or not?

If you are not guilty, then you shouldn't have to pay. If your guilty, you would have a number of options, including making them prove it in court, and so on. If your not guilty, they will not change anything from a talk on the phone or a brief letter. If you used it say for work, then get someone higher up to write a polite letter explaining it.

If you are not guilty, you could always ignore the letter, let DTV take you to court as you have no obligation to contact them, and sue their asses off for compensatory and punitive damages if they try to extort money from you. Might be best to let thing run their course. You could find yourself a bit richer for the experience.

My attorney has gotten one client out of letter trouble which he used it at work. He had his boss send a letter to them on there letter head explaining what they do and why he had the device. DTV's attorney sent a letter back stating there would be no further action. If anyone can figure a way to do the same it might work.
